Domains, hosting, email, website and technical services
1. Scope and parties
These terms apply to contracts between Marc Bollue, trading as CenterView, and customers for domains, DNS, SSL, hosting, email, website and technical services. Resellers are additionally subject to the reseller terms. Individual agreements and the specific service description take precedence.
2. Formation of contract
Website presentations are invitations to place an order unless expressly stated otherwise. The customer submits a binding offer by sending the order. A contract is formed by order confirmation, activation or performance. Before a consumer places a paid order, the principal features, total price, term, termination conditions and withdrawal information are displayed in a storable form.
3. Account and customer duties
Customer information must be complete and current. Login credentials must be protected. CenterView may perform identity, email, business-status or plausibility checks and may hold an order until checks are complete.
4. Services and third-party dependencies
The service description, package and confirmation determine the scope. Domain, certificate, payment and infrastructure elements may depend on third parties. CenterView is responsible for proper selection and integration but not for decisions or outages outside its control. Maintenance, security updates and necessary technical changes may be performed.
5. Domains
Availability checks are non-binding until the registry confirms registration. Customers must provide accurate registrant data, respect third-party rights and comply with registry and registrar rules. CenterView is authorised to make the declarations necessary to implement the order.
When auto-renewal is active, a domain is renewed for the applicable registry period unless cancelled in time and payment is secured. Registry deadlines may require cancellation before the expiry date shown. Recovery after expiry is not guaranteed and may incur extra charges.
6. Hosting, DNS, SSL and email
Customers may use the agreed resources only for lawful contract purposes and must maintain secure passwords and current applications. Spam, phishing, malware, open relays and abusive mass email are prohibited. Filters and delivery routes cannot guarantee that every message is accepted, delivered or retained.
7. Website and individual work
For custom websites or technical work, the offer defines scope, cooperation, price and acceptance. Customers must provide content, rights, access and approvals in time. Additional changes may be charged separately.
8. Prices and payment
The prices shown in the order process apply. Consumer prices include statutory VAT; business prices may be shown net plus VAT. Recurring fees are normally payable in advance. In the event of a chargeback, failed payment or payment default, CenterView may recover reasonable actual costs and send payment reminders.
Suspension after the second reminder: If a due amount remains unpaid despite a payment reminder, first reminder and second reminder, and the reasonable payment deadline stated in the second reminder also expires without payment, CenterView may temporarily suspend the services affected by the outstanding claim, provided this is technically possible, legally permissible and proportionate. The suspension may in particular affect hosting, websites, email, databases, DNS administration and associated portal or server services. It will generally remain in place until all due amounts under the affected contractual relationship have been paid in full. Domain registrations, transfers and renewals remain additionally subject to the rules of the relevant registry and registrar.
The customer remains liable for agreed charges insofar as the service was available and the suspension was caused by the customer's payment default.
9. Term, renewal and termination
Monthly contracts run for an indefinite period and may be terminated with one month's notice unless a shorter period applies. Annual contracts run for an initial twelve months and then continue indefinitely, terminable with one month's notice. Domains follow the applicable registration period and registrar deadline. The right to terminate for cause remains unaffected.
10. Consumer withdrawal
Consumers generally have a statutory withdrawal right for distance contracts. Details appear in the withdrawal notice. If the consumer expressly requests performance before the end of the withdrawal period, proportionate payment may be due; the right may expire after complete performance under the statutory conditions.
During the statutory withdrawal period, the declaration may also be submitted through the prominently available online withdrawal function. Withdrawal by email or any other legally permitted means remains possible.
11. Cooperation and backups
Customers must provide necessary information and maintain appropriate backups separate from the live system unless a managed backup service is expressly included. CenterView system backups primarily protect the infrastructure and do not create a right to restore individual files or mail unless agreed.
12. Acceptable use and suspension
Illegal content, rights infringements, malware, phishing, spam, attacks, circumvention of security, unauthorised mining and use that materially endangers systems or third parties are prohibited. CenterView may proportionately restrict or suspend services in urgent security cases, under lawful orders, after serious breach or continuing payment default.
For payment default, suspension is governed by section 8 and will generally take place only after the second reminder and expiry of the reasonable payment deadline stated in that reminder. Once payment has been received in full and can be clearly allocated, services suspended solely because of that payment default will be restored without undue delay, unless another ground for suspension exists.
A payment-related suspension does not by itself delete existing customer data. Separate termination, retention and deletion rules remain unaffected.
13. Defects and liability
CenterView remedies attributable defects within a reasonable period. Liability is unlimited for intent, gross negligence, death or personal injury and mandatory statutory liability. For slight negligence involving an essential obligation, liability is limited to foreseeable typical loss. Otherwise liability for slight negligence is excluded where legally permitted.
14. Third-party rights and data protection
Customers may use only content, domains, software and data for which they hold the necessary rights. Data is processed under the privacy policy. Where CenterView processes personal data solely on behalf of a business customer, the data processing agreement applies.
15. Changes, law and final clauses
Technical details may be changed where the contractual purpose is maintained and the change is necessary and reasonable. German law applies, without depriving consumers of mandatory protection in their country of residence. For merchants, the competent court for Werl is the agreed venue where permitted. CenterView is not currently willing or obliged to participate in consumer conciliation proceedings.
